[영문계약서] 영문계약서 용어 정리- as set forth/in accordance with/at one’s sole discretion

아래의 세 가지 영문계약서 용어는 어느 정도 의미를 알 것 같기는 한데 좀 더 명확한 의미를 알면 좋을 것 같아서 정리해 보았습니다. 

 

1. as set forth  ~~에 명시된 바와 같이

보통은 첨부한 내용이나, 근거를 가리킬 때 주로 사용됩니다. 

 

예시 :

- as set forth in the Exhibit C

- Unless otherwise set forth herein, any notice required to be given under this Agreement shall be in writing and shall be delivered by certified mail with return receipt requested, by a reputable international overnight delivery service or by facsimile transmission (with a copy by regular mail or overnight delivery service) to the following addresses or such other address designated by a Party

 

여기에 달리 명시되지 않는 한, 본 계약에 따라 제공해야 하는 모든 통지는 서면으로 작성되어야 하며, 다음 주소 또는 당사자가 정한 기타 주소로 반환 영수증이 요청되는 인증된 우편, 신뢰할 수 있는 국제 야간 배송 서비스 또는  팩스 전송(정기 우편 또는 야간 배송 서비스 사본 첨부)을 통해 전달되어야 합니다.

 

 

 

2. in accordance with

~에 따라, ~에 근거하여

 

규정하고자 하는 조항의 내용에 대해서 성립 근거가 되거나 해석 조건의 근거가 되는 조항을 언급할 때 사용됩니다. 

 

예시 :  within the “Territory” (as defined in Exhibit B attached hereto) in accordance with the terms and conditions of this Agreement

본 계약의 조항과 조건에 따라 이 계약서에 첨부된  참조 B에서 정의한 (영토) 범위 안에서

 

3. at one's sole discretion

at one’s discretion 재량으로

한쪽이 조건이나 제한없이 단독으로 재량을 행사할 수 있다는 것을 나타내기 위하여 혼자, 단독의 라는 의미의 sole을 discretion 앞에 넣어주어 단독 재량으로라는 의미가 됩니다. 이러한 문구가 있어도 무제한적인 재량이 인정되기보다는 계약서상의 문맥에 따라 그 재량권의 의미, 범위가 해석되는 경우도 있습니다.  

 

예시 :  the Company may, at its sole discretion, terminate this Agreement in accordance with Article 15(3)

 회사는 단독 재량으로 제15조 항항에 근거하여 이 계약을 해지할 수 있다.
